Terms and Conditions of Sale

These Terms and Conditions of Sale (“Terms”) apply to all sales of goods and services by Katnic Limited (company number 07531941), trading as H&M Health & Mobility (collectively referred to as “we”, “us” or “our”), whether made via our website (hmmobility.co.uk), by email, in writing, by telephone or otherwise.

By placing an order with us, you (“you”, “your” or “the customer”) agree to be bound by these Terms.

1. General

1.1 These Terms govern all sales of goods and services by us to you and override any terms or conditions you may seek to impose or incorporate.
1.2 We may update these Terms from time to time. The version in force at the time of your order will apply.

2. Orders & Contract Formation

2.1 Your order is an offer to purchase goods from us in accordance with these Terms.
2.2 No contract exists until we confirm acceptance of your order in writing, by email or by dispatching the goods.
2.3 We reserve the right to refuse any order at our discretion.

3. Pricing & Payment

3.1 Prices are as stated on our website or quoted in writing and are exclusive of VAT unless otherwise stated.
3.2 Payment must be made in full prior to dispatch unless otherwise agreed in writing.
3.3 We accept payment by bank transfer, credit/debit card or other methods as agreed.
3.4 Pricing Errors: Although we make every effort to ensure prices are correct, mistakes can occur. If we discover an error, we will notify you and give you the option to:
a) reconfirm your order at the correct price; or
b) cancel your order.
If we cannot contact you, or you do not respond, we will cancel the order. If payment has already been made, you will receive a full refund.

4. Delivery

4.1 Delivery dates are estimates only and we are not liable for delays outside our control.
4.2 Risk in the goods passes to you on delivery.
4.3 Delivery will be made to the address specified in your order unless otherwise agreed.

5. Retention of Title (RoT)

5.1 Title to the goods shall not pass to you until we have received payment in full for:
a) the goods supplied; and
b) any other sums due from you to us.
5.2 Until title passes, you must:
a) hold the goods as our fiduciary bailee;
b) store the goods separately from other goods and clearly mark them as our property;
c) keep the goods in good condition; and
d) insure the goods for their full replacement value against all normal risks.
5.3 We may recover goods for which payment has not been made at any time. You grant us, our agents and employees an irrevocable licence to enter your premises (or any premises where the goods are stored) to inspect or repossess the goods.
5.4 Your right to possession of the goods will end immediately if you become insolvent, enter administration, liquidation or have a receiver appointed.

6. Cancellations & Returns

6.1 Consumers have the right to cancel orders in accordance with the Consumer Contracts Regulations 2013.
6.2 Business-to-business sales are final and non-returnable unless defective or otherwise agreed in writing.
6.3 Returns must be authorised by us in advance and sent to the address we provide.

7. Warranties & Liability

7.1 Goods are supplied with the manufacturer’s warranty unless otherwise stated.
7.2 We are not liable for damage caused by misuse, improper installation or normal wear and tear.
7.3 To the fullest extent permitted by law, our liability shall be limited to the price paid for the goods.

8. Force Majeure

We are not liable for any delay or failure to perform due to events beyond our reasonable control, including but not limited to strikes, accidents, war, fire, breakdown of plant or machinery, or shortages of materials.

9. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction over any dispute.
